Terms of Service

You must be at least 18 years old and able to form a binding contract to use the Service. When you create an account, you agree to provide accurate information and to keep it current. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Authentication is handled by our identity provider; notify us promptly of any unauthorized use.

KestrelFi provides portfolio aggregation, analytics, risk and scenario tools, market context, research workflows, and AI-assisted summaries and chat. The Service is provided for informational purposes only.

The Service is currently offered on an early-access basis. It may contain features that are incomplete, change without notice, or be discontinued. We do not guarantee availability, uptime, or that any feature will be released or maintained. Early-access access may be limited, suspended, or revoked at our discretion.

KestrelFi does not provide investment, financial, legal, or tax advice, and is not a broker-dealer, investment adviser, or fiduciary. Nothing in the Service is a recommendation to buy, sell, or hold any security or to pursue any investment strategy. All content — including analytics, risk metrics, stress scenarios, market data, screens, models, and AI-generated output — is provided for general informational purposes only and may be incomplete, delayed, or inaccurate.

You are solely responsible for your own investment decisions and should consult a qualified professional before acting. Past performance and modeled or hypothetical results do not guarantee future outcomes.

Market data and third-party information may be delayed, inaccurate, or unavailable, and are provided without warranty. Risk analytics, correlations, factor exposures, and stress scenarios are estimates based on models and assumptions that may not reflect actual results.

AI features generate output using automated systems and may produce information that is inaccurate, incomplete, or misleading (“hallucinations”). AI output is not verified for accuracy and must not be relied upon as fact or advice. You are responsible for independently verifying any information before relying on it.

You may choose to connect brokerage or financial accounts or upload portfolio information. Where you connect a brokerage account, access is obtained through a third-party aggregation provider and is intended to be read-only; we do not place trades or move funds. You represent that you are authorized to connect any account and to provide any data you submit, and you grant us a limited license to process that data solely to provide and improve the Service, as described in our Privacy Policy.

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Reverse engineer, scrape, or attempt to extract source code or data except as permitted by law;
• Interfere with, disrupt, or place undue load on the Service or its infrastructure;
• Circumvent authentication, access controls, or usage limits;
• Resell, sublicense, or provide the Service to third parties without our written consent; or
• Upload malicious code or data you are not authorized to share.

The Service, including its software, design, and content (excluding your data), is owned by KestrelFi or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal, personal or business use. You retain ownership of the data you submit.

The Service integrates third-party providers to function. These include, among others:

• Clerk — User authentication and account management.
• SnapTrade — Secure, read-only connection to your brokerage accounts (when you choose to connect one).
• OpenAI — AI-generated analysis, summaries, and chat responses (queries may include portfolio context).
• Resend — Transactional email delivery (early-access application and onboarding emails).
• Railway — Cloud hosting and database infrastructure.
• Axiom — Application logging and operational monitoring.

Your use of connected third-party services may be subject to their own terms and privacy policies. We are not responsible for third-party services.

The Service is currently provided free of charge during early access. We may introduce paid plans in the future; any fees, billing terms, and refund policies will be presented before you are charged.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY REGARDING ACCURACY, RELIABILITY, OR AVAILABILITY. We do not warrant that the Service will be uninterrupted, secure, or error-free.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KestrelFi AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR INVESTMENT LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless KestrelFi and its affiliates from any claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your data, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive.

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where binding arbitration or an alternative venue is required by applicable law.
